Plain-language summary: These terms apply to all Sprink products and services — our managed cafeteria service, the Epicenter SaaS platform, our B2C meal subscription, and campus solutions. Read the section relevant to your use of Sprink. If anything is unclear, email us at contact@sprink.online.
1 Overview & scope
These Terms & Conditions ("Terms") are a legal agreement between you ("you", "Client", "User", or "Subscriber") and Kinematic Foodtech Pvt. Ltd. ("Sprink", "we", "us", or "our"), a company incorporated under the laws of India with its registered office at #201/1A, Kudlu Main Road, Opposite Bren Palms Apartment, Bangalore – 560068.
By accessing our website at sprink.online, the Epicenter platform at epicenter.sprink.online, subscribing to any Sprink service, or entering into a commercial agreement with Sprink, you agree to be bound by these Terms. If you do not agree, you must not use our services.
Sprink operates across multiple service lines. These Terms cover all of them:
- Managed Cafeteria Service — full operational management of corporate and institutional cafeterias
- Epicenter Platform (SaaS) — cafeteria management software for businesses
- Meal Subscription (B2C) — direct-to-home meal delivery for individuals
- Campus & Hostel Solutions — mess management for educational institutions
- Event Catering & Facilities Management — ancillary services
Where specific terms apply only to a particular service, this is indicated clearly.
2 Definitions
- "Client" means a business, institution, or organisation that has entered into a commercial agreement with Sprink for Managed Service, SaaS Platform, or Campus Solutions.
- "User" means any individual who accesses or uses the Sprink platform, including employees of a Client organisation.
- "Subscriber" means an individual who has purchased a B2C meal subscription plan.
- "Epicenter" means Sprink's proprietary cafeteria management SaaS platform.
- "Services" means all products, platforms, software, and operations provided by Sprink.
- "Vendor" means a food kitchen, caterer, or food service partner operating through or in conjunction with the Sprink platform.
- "GMV" means Gross Merchandise Value — the total value of transactions processed through the Epicenter platform.
- "Agreement" means the commercial agreement, proposal, or order form signed between Sprink and a Client, read together with these Terms.
3 Managed cafeteria service
3.1 Scope of service
The managed cafeteria service scope is defined in the commercial Agreement between Sprink and the Client. This may include any combination of: on-site operations supervision, vendor sourcing and management, daily food quality control, menu and nutrition planning, staff and manpower deployment, the Epicenter platform, events management, and facilities management. The specific services, service levels, and commercial terms are as agreed in the signed Agreement.
3.2 Client responsibilities
The Client agrees to: provide Sprink personnel with safe and appropriate access to the cafeteria premises during operating hours; designate a primary point of contact for day-to-day coordination; communicate relevant employee information (headcount, dietary requirements, scheduling changes) in a timely manner; and pay Sprink invoices within the agreed payment terms.
3.3 Vendor management
Where Sprink manages vendors on the Client's behalf, Sprink will conduct initial due diligence, ongoing hygiene audits, and performance reviews. Sprink does not guarantee the conduct of third-party vendors but will act diligently to manage, remediate, and where necessary replace underperforming vendors. Vendor changes will be communicated to the Client in advance wherever operationally feasible.
3.4 Service continuity
Sprink will make reasonable commercial efforts to maintain service continuity. In the event of circumstances beyond Sprink's reasonable control (force majeure, supplier failure, regulatory action), Sprink will notify the Client promptly and work to restore service. Sprink is not liable for service interruptions resulting from circumstances outside its direct control.
3.5 Term and termination
Managed service agreements have a minimum term as specified in the Agreement. Either party may terminate for material breach with written notice and a reasonable cure period. Upon termination, the Client is responsible for costs incurred up to the termination date including any deployed staff notice periods.
4 Epicenter SaaS platform
4.1 Licence
Subject to these Terms and payment of applicable fees, Sprink grants the Client a non-exclusive, non-transferable, revocable licence to access and use the Epicenter platform for the Client's internal cafeteria management operations during the subscription term.
4.2 Platform availability
Sprink targets 99% platform uptime measured monthly, excluding scheduled maintenance windows (of which Clients will be notified in advance). Sprink is not liable for downtime caused by third-party infrastructure (internet service providers, payment gateways, cloud providers) or events outside Sprink's reasonable control.
4.3 Client data
All transaction data, employee order data, and feedback data generated on the Epicenter platform by a Client's users belongs to the Client. Sprink processes this data to provide the service, generate analytics, and improve the platform. Sprink does not sell Client data to third parties. On termination, Clients may request a data export within 30 days of account closure.
4.4 Prohibited uses
Clients must not: resell or sublicence access to the platform; attempt to reverse-engineer, decompile, or extract the platform's source code; use the platform for purposes other than cafeteria management; introduce malicious code; or use the platform in a manner that violates applicable law.
4.5 Third-party integrations
The Epicenter platform integrates with third-party payment providers (Razorpay, Sodexo) and other services. Sprink is not responsible for the conduct, uptime, or security practices of these third parties. Use of payment integrations is subject to the respective payment provider's terms.
4.6 Hardware
Where Clients purchase or rent POS terminals or token display systems from Sprink, ownership and warranty terms are as stated in the respective hardware agreement. Clients are responsible for physical maintenance and safekeeping of hardware on their premises.
5 Meal subscription (B2C)
5.1 Subscription and ordering
Meal subscriptions are available to individuals via sprink.online. By subscribing, you authorise Sprink to deliver meals to your specified address during your selected plan. During subscription, you may indicate meal preferences and special remarks. Payment confirms your order and no amendments are possible once payment is processed.
5.2 Delivery
Meals are delivered at pre-defined time slots depending on your plan. Sprink does not provide real-time delivery tracking; food is delivered within the window for your session as described in the FAQs. If your delivery is delayed or you have a concern, contact us via WhatsApp at +91 96114 81517 or at contact@sprink.online within the delivery window.
5.3 Food quality
All Sprink meals are prepared fresh using natural ingredients, with no artificial preservatives. We follow WHO food safety standards and our own additional hygiene protocols. If you receive a meal that does not meet quality standards, contact us within 2 hours of delivery and we will investigate and respond appropriately.
5.4 Unavailability
In rare circumstances, a dish shown as available may become unavailable after your order is confirmed. Where this occurs, Sprink will substitute an equivalent dish or notify you. Sprink reserves the right to change the menu offering at any time.
5.5 Communication consent
By subscribing and providing your contact details, you authorise Sprink to contact you via calls, messages, and email to provide information about your subscription and services. This authorisation applies regardless of NDNC registry registration. You may opt out of marketing communications at any time by contacting us — transactional messages related to your subscription will continue.
6 Campus & hostel solutions
Campus and hostel engagements are governed by a separate commercial Agreement between Sprink and the educational institution. These Terms apply in addition to that Agreement. The institution is responsible for: communicating the platform rollout to students and wardens; ensuring student data is collected and shared with Sprink only with appropriate consent; and designating an institutional administrator with authority to manage the Sprink deployment.
Student personal data is processed only for the purpose of managing meal records, billing, and dietary preferences. Institutions must comply with applicable data protection requirements when providing student information to Sprink.
7 Payments & billing
7.1 Online payments
Online payments are processed via Razorpay's PCI-DSS compliant payment infrastructure. When paying by card, you enter your card details directly into the payment provider's secure environment. Sprink does not store card data. Payment confirmation is sent by the payment provider and acknowledged by Sprink via email.
7.2 Wallet payments (Epicenter platform)
The Epicenter cafeteria wallet allows users to pre-load funds for faster checkout. Wallet balances are held within the platform and can be used for orders at participating cafeterias. Wallet top-ups are non-refundable except where the Client's account is closed, in which case outstanding balances will be settled as per the Agreement.
7.3 Sodexo
Sodexo payments are subject to Sodexo's own merchant terms. Where Sodexo is used as a payment method on Epicenter, additional charges may apply as disclosed at the point of payment setup.
7.4 B2B invoicing
For managed service and SaaS platform clients, billing is as per the commercial Agreement. Invoices are issued monthly or as otherwise agreed. Payment terms are 30 days from invoice date unless otherwise specified. Late payments may attract interest at 1.5% per month.
7.5 Failed payments
If a payment fails, your order or subscription will not be confirmed. You will be notified and may retry payment. If a payment is declined by your bank, Sprink is not liable. If you believe a payment was incorrectly charged, contact us within 7 days.
8 Refunds & cancellations
8.1 Meal subscriptions
Once payment for a meal subscription is processed, no refunds, exchanges, or cancellations are applicable. If you need to pause your subscription or make changes before your next billing cycle, contact us at contact@sprink.online and we will accommodate reasonable requests wherever possible.
8.2 SaaS platform
SaaS subscription fees are non-refundable once a billing period has commenced. Clients may cancel at the end of their current term with appropriate notice as specified in the Agreement. No partial-period refunds are issued.
8.3 Managed service
Managed service engagements have minimum terms and notice periods as specified in the Agreement. Early termination may be subject to exit fees as outlined in the Agreement. Fees for services rendered up to the termination date are non-refundable.
8.4 Quality issues
If you receive food that does not meet reasonable quality standards, contact us within 2 hours of delivery (for B2C) or the same business day (for B2B). We will investigate and, where the issue is attributable to Sprink or our vendors, will offer an appropriate remedy at our discretion — which may include a credit, replacement, or partial refund.
9 Data & privacy
Sprink collects personal data necessary to provide its services — including name, contact details, delivery address, payment information, and order history. This data is used to fulfil orders, manage accounts, provide customer support, and improve our services. Full details of our data practices are in our Privacy Policy.
Sprink uses reasonable technical and organisational measures to protect your data. We do not sell your personal data to third parties. We may share data with service partners (payment processors, logistics providers) strictly as necessary to deliver our services.
You have the right to request access to, correction of, or deletion of your personal data. Contact contact@sprink.online to exercise these rights.
For B2B Clients, the Agreement governs data processing arrangements between Sprink and the Client organisation, including any data processing agreement required under applicable law.
10 Intellectual property
All intellectual property in the Sprink brand, the Epicenter platform, its software, interfaces, data structures, and related documentation is owned by Kinematic Foodtech Pvt. Ltd. Nothing in these Terms transfers ownership of any Sprink IP to you.
Client data and content uploaded to the platform remains the property of the Client. By uploading data, the Client grants Sprink a limited licence to process that data to provide the services.
Feedback, suggestions, or ideas provided to Sprink about the platform may be used by Sprink without obligation or compensation to you.
11 Limitation of liability
To the fullest extent permitted by applicable law, Sprink's total liability to you for any claim arising from these Terms or the use of our services shall not exceed the fees paid by you to Sprink in the 3 months preceding the claim.
Sprink is not liable for: indirect, consequential, or incidental losses; loss of data, revenue, or profits; damage caused by third-party vendors or payment providers; or service disruptions caused by events outside Sprink's reasonable control.
Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable Indian law.
Note on food safety: Sprink operates under WHO food safety standards and our own hygiene protocols. If you experience a food safety concern, contact us immediately. Sprink will investigate promptly and cooperate fully with any regulatory authority.
12 Acceptable use
You agree not to use Sprink's services or platform to:
- Violate any applicable law or regulation
- Transmit fraudulent, misleading, or harmful content
- Attempt to gain unauthorised access to any part of the platform
- Introduce viruses, malware, or other harmful code
- Scrape, copy, or reverse-engineer any part of the platform
- Impersonate Sprink, its employees, or other users
- Use the platform to compete with Sprink's services
Sprink reserves the right to suspend or terminate access for any user or organisation that violates these acceptable use provisions, without notice and without liability.
13 Changes to these terms
Sprink may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. When we make material changes, we will notify users and clients by email and/or by posting a notice on our website, with at least 14 days' notice before the changes take effect. Continued use of Sprink's services after that period constitutes acceptance of the updated Terms.
The "last updated" date at the top of this page reflects when these Terms were last revised. We recommend reviewing this page periodically.
14 Governing law & disputes
These Terms and any disputes arising from them are governed by the laws of India. You agree to submit to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India for any dispute arising from these Terms or your use of Sprink's services.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith discussion. Either party may initiate this by sending written notice to the other, after which both parties will have 30 days to reach a resolution.
A person who is not a party to these Terms has no rights to enforce any part of them.
